Unlocked means that the multiplier of the processor is not locked. This means that you can enter the multiplier yourself in the BIOS. This makes it easier to overclock the processor. If you don't want to do this, you can safely take the cheaper, locked model. I'm not a professional in this area and hope I haven't written something completely wrong...but on the whole it's about simplified overclocking. mfg

Unlocked means that you can change the multiplier. This allows the processor to be overclocked.
