ESD = Download and with the gamecard you get the code in credit card format.
Only Xbox 360 games require Xbox Live Gold for multiplayer.
It's a code to get the 12 months subscription, there is no language ;)

When you buy the product, it is sent to you by e-mail (ESD). Once you receive the e-mail you have some time to activate it. So yes, not impossible to activate it later.
